1. Introduction

Welcome to Serideo AI.

These Master Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Annotator," "Client," "Customer," "you," or "your") and Serideo AI, operating under the brand name Serideo AI.

These Terms govern your access to and use of the Serideo AI website, applications, dashboards, APIs, products, services, datasets, annotation tools, evaluation tools, communication channels, payment systems, and any other services made available by Serideo (collectively, the "Services").

By creating an account, accessing, browsing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not create an account or use the Services.

These Terms apply to every person using the platform, including but not limited to:

• Annotators

• Reviewers

• Quality Analysts

• Contractors

• Clients

• Researchers

• Organizations

• Enterprise Customers

• Visitors

Additional policies may supplement these Terms. In the event of any conflict, the specific policy applicable to the service shall prevail only for that specific service.

2. Definitions For purposes of these Terms:

Account means a registered user profile on Serideo AI.

Annotator means an independent contractor who performs data labeling, transcription, translation, evaluation, ranking, moderation, verification, collection, validation, or other AI- related tasks through the platform.

Client means any individual, company, institution, government agency, or organization that submits projects or purchases services through Serideo.

Content means any information, text, images, audio, video, files, datasets, annotations, labels, prompts, metadata, code, feedback, comments, or other materials submitted to or generated through the Services.

Confidential Information means any non-public information relating to Serideo, its clients, projects, datasets, business operations, pricing, technology, or users.

Project means any work assignment, benchmark, dataset, evaluation, annotation task, AI training activity, quality review, or related engagement made available through the platform.

Services means all products, software, websites, applications, APIs, dashboards, support systems, and related offerings operated by Serideo.

User means any individual or organization accessing or using the Services.

3. Eligibility

The Services are intended solely for individuals who are at least eighteen (18) years of age.

By creating an account, you represent and warrant that:

• You are at least 18 years old.

• You have the legal capacity to enter into binding contracts.

• The information you provide is accurate and complete.

• You are not prohibited from using the Services under applicable law.

• You will comply with these Terms at all times.

Serideo reserves the right to request age verification or identity verification at any time.

Accounts found to belong to individuals under eighteen (18) years of age may be suspended or permanently removed without prior notice.

4. Nature of the Platform

Serideo AI operates a technology platform that connects organizations requiring AI data services with qualified independent contributors who perform data-related tasks.

The platform may include services such as: • Data annotation

• Image labeling

• Audio transcription

• Speech collection

• Translation

• Prompt evaluation

• RLHF tasks

• Human preference ranking

• Dataset validation

• AI benchmarking

• Model evaluation

• Data collection

• Quality assurance

• Research support

Serideo provides the infrastructure through which these activities may occur but does not guarantee that any particular project, task, client engagement, or earning opportunity will be available.

Availability of projects depends on business demand, client requirements, language expertise, quality performance, jurisdictional restrictions, and other operational considerations.

5. Acceptance of These Terms

By using the Services, you acknowledge and agree that:

• these Terms are legally binding;

• electronic acceptance has the same legal effect as a handwritten signature;

• continued use of the Services constitutes ongoing acceptance of these Terms and any future updates.

If you are accessing the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

6. Account Registration

To access certain features, you must create an account.

During registration, you agree to provide accurate, current, and complete information.

You agree to promptly update your information whenever it changes. Serideo may require information including:

• Full name

• Email address

• Phone number

• Country

• Language proficiency

• Payment information

• Identity verification documents

• Tax information where applicable

• Professional qualifications

• Work experience

• Device information necessary for security

You are solely responsible for maintaining the confidentiality of your account credentials.

You must immediately notify Serideo if you suspect unauthorized access to your account.

You may not:

• create multiple accounts to bypass restrictions;

• impersonate another individual;

• provide false identity information;

• share your login credentials;

• sell or transfer your account;

• allow another person to perform work using your account.

Serideo may suspend or terminate accounts that violate these requirements.

7. Identity Verification

To maintain platform integrity and comply with legal obligations, Serideo may require identity verification before permitting access to certain projects, payments, or platform features.

Verification may include review of government-issued identification, payment details, tax documentation, photographs, or other reasonable verification methods.

Failure to complete requested verification may result in restricted access to certain Services.

Submission of fraudulent, altered, expired, misleading, or stolen documents constitutes a material breach of these Terms and may result in immediate account termination, cancellation of pending payments where legally permissible, and reporting to relevant authorities if required by law. 8. Independent Contractor Relationship

Unless expressly agreed in a separate written contract signed by Serideo, all annotators, reviewers, translators, evaluators, and similar contributors perform services as independent contractors.

Nothing contained in these Terms creates or shall be interpreted as creating:

• an employment relationship;

• a partnership;

• a joint venture;

• an agency relationship;

• a franchise;

• or any fiduciary relationship.

As an independent contractor, you acknowledge and agree that:

• You control when and whether to accept available tasks.

• You are not guaranteed any minimum amount of work or compensation.

• You are responsible for your own taxes, statutory filings, insurance, and legal obligations arising from payments received through the platform.

• You are not entitled to employee benefits such as provident fund, gratuity, paid leave, overtime, health insurance, retirement benefits, or similar employment-related benefits unless expressly required by applicable law or agreed in writing.

• Completion of projects does not create any expectation of continued engagement.

Serideo may establish qualification requirements, quality standards, deadlines, and project specifications necessary to deliver services to clients. Such requirements are intended solely to ensure platform quality and do not alter the independent contractor relationship.

9. User Responsibilities

Every user agrees to use the Services honestly, responsibly, and in accordance with applicable laws.

You agree that you will:

• provide truthful information;

• follow project instructions;

• protect confidential information;

• maintain the quality standards required for assigned work;

• promptly report security incidents or suspected unauthorized access; • cooperate with reasonable verification requests from Serideo.

You further agree that you will not engage in conduct that harms the platform, its users, or its clients.

10. Platform Usage Rules

When using the Services, you must not:

• use automated bots, scripts, or unauthorized software to perform tasks;

• manipulate quality scores, reviews, or platform metrics;

• attempt to reverse engineer or interfere with the Services;

• upload malicious code, malware, or harmful content;

• access another user's account without authorization;

• scrape, copy, or extract platform data without written permission;

• misuse confidential client information;

• submit intentionally inaccurate or fabricated work;

• engage in fraud, collusion, or deceptive practices;

• violate any applicable law, regulation, or contractual obligation.

Serideo reserves the right to investigate suspected violations and take appropriate action, including suspension or termination of accounts, removal of content, withholding of payments where legally justified, or referral to law enforcement authorities where required.

11. Task Acceptance and Completion

11.1 Project Availability

Serideo does not guarantee the availability, frequency, duration, or value of any project, task, or engagement. Projects are assigned based on factors including, but not limited to:

• Language proficiency

• Geographic eligibility

• Project requirements

• Quality scores

• Historical performance

• Client preferences

• Verification status

• Platform demand • Internal risk assessments

Receiving previous projects does not create any expectation or entitlement to future work.

11.2 Voluntary Participation

Unless otherwise specified in a separate written agreement, Users are under no obligation to accept any task offered through the Platform.

Similarly, Serideo is under no obligation to offer any minimum amount of work.

11.3 Task Instructions

Each Project may contain specific requirements including:

• Project guidelines

• Quality expectations

• Completion deadlines

• Formatting requirements

• Technical requirements

• Confidentiality instructions

• Review procedures

Users must carefully read and follow all Project instructions before beginning work.

11.4 Accuracy

Users must submit work that is:

• Accurate

• Honest

• Original

• Complete

• Free from intentional errors

• Submitted within applicable deadlines

Repeated poor-quality submissions may result in reduced access to Projects, additional quality reviews, suspension, or termination.

11.5 Artificial Intelligence Assistance

Unless a Project expressly permits the use of artificial intelligence tools, automated systems, or machine-generated outputs, Users must complete assigned work independently.

Using unauthorized AI tools, bots, scripts, browser extensions, or automation to complete tasks may constitute fraud and may result in immediate account suspension.

11.6 Reviews Serideo may review submitted work manually or through automated quality assurance systems.

Projects may be accepted, rejected, or returned for correction based on quality requirements.

The outcome of quality reviews shall determine eligibility for payment where permitted by applicable law.

12. Quality Standards

Serideo is committed to providing high-quality AI data and services.

Users agree to perform work with reasonable care, skill, and diligence.

Quality assessments may include:

• Golden task evaluation

• Random sampling

• Manual review

• Peer review

• Automated validation

• Consistency analysis

• Historical performance analysis

• Client feedback

• Accuracy measurements

Serideo reserves the right to establish minimum quality thresholds for continued participation.

Repeated failure to meet required standards may result in:

• Reduced project eligibility

• Mandatory retraining

• Temporary suspension

• Permanent removal from specific projects

• Permanent account termination for repeated or serious violations

13. Payments and Payouts

13.1 Compensation

Eligible Users will receive payment for successfully completed work that satisfies applicable Project requirements.

Compensation may vary based on:

• Project complexity • Language

• Skill level

• Project duration

• Client pricing

• Quality performance

• Geographic considerations

Compensation rates are determined by Serideo or the applicable Client and may change from time to time.

13.2 Payment Methods

Payments may be made through supported payment methods, including:

• UPI

• Bank Transfer

• Other approved payment providers

Serideo may introduce or discontinue payment methods without prior notice.

13.3 Payment Eligibility

Payment may be withheld where:

• Work is incomplete.

• Work violates Project instructions.

• Fraud is suspected.

• Identity verification is incomplete.

• Applicable legal requirements have not been satisfied.

• Duplicate or plagiarized submissions are detected.

13.4 Taxes

Users are solely responsible for determining and fulfilling their own tax obligations arising from payments received through the Platform.

Serideo may deduct taxes where required by applicable law.

13.5 Payment Errors

Users must report payment discrepancies within thirty (30) days after the relevant payout.

After this period, payment records may be treated as final, subject to applicable law.

14. Confidentiality

Many Projects involve confidential information belonging to Serideo or its Clients. Users agree that all Confidential Information shall remain strictly confidential.

Confidential Information includes, but is not limited to:

• Datasets

• AI prompts

• Images

• Audio

• Documents

• Software

• Product designs

• Research materials

• Benchmarks

• Source code

• Pricing information

• Business strategies

• Customer information

• Internal documentation

Users shall not:

• Copy confidential datasets except as necessary to complete assigned work.

• Share confidential information with third parties.

• Publish Project content online.

• Sell confidential information.

• Download or retain confidential information beyond what is permitted.

• Use Project materials for personal research or commercial purposes without written authorization.

Confidentiality obligations continue even after termination of the User's account.

15. Intellectual Property

All intellectual property rights relating to the Platform remain the exclusive property of Serideo or its licensors.

This includes:

• Software

• Source code • Algorithms

• AI systems

• Designs

• Logos

• Branding

• Documentation

• Databases

• Platform interfaces

• Trademarks

• Copyrights

• Trade secrets

Nothing contained in these Terms transfers ownership of Serideo's intellectual property to any User.

16. User Content and License

Users retain ownership of any original intellectual property they independently create outside the Platform.

However, by submitting work through the Platform, Users grant Serideo a worldwide, perpetual (to the extent permitted by law), irrevocable, non-exclusive, transferable, sublicensable, royalty- free license to:

• Host

• Store

• Copy

• Process

• Modify

• Adapt

• Translate

• Combine

• Display

• Distribute

• Reproduce

• Evaluate • Deliver to Clients

• Use for quality assurance

• Use for fraud prevention

• Archive

• Perform obligations under client agreements

This license is granted solely for purposes relating to the operation, improvement, security, delivery, and administration of the Services and associated Projects, subject to the Privacy Policy and any separate user consents required by applicable law.

Where applicable law requires separate consent for additional uses, including certain AI model improvement activities, Serideo will request and manage such consent independently.

Users represent that they possess all rights necessary to submit any content they upload to the Platform.

Users shall not submit content that infringes the intellectual property rights or other legal rights of any third party.

17. AI Services and Model Improvement

Serideo develops technologies that support artificial intelligence systems and data services.

Users acknowledge that Project outputs may be reviewed by humans, automated systems, or a combination of both for quality assurance, fraud detection, compliance, and delivery to Clients.

If a User separately chooses to enable the optional "Help Improve Serideo AI for Everyone" setting, Serideo may use eligible de-identified submissions to improve, evaluate, validate, and train Serideo's own AI models, subject to the Privacy Policy.

This optional setting is not required to use the core Services unless a specific Project expressly states otherwise.

Users may withdraw this optional consent through their account settings. Withdrawal applies to future processing and does not require Serideo to reverse or remove information already incorporated into models or analyses before the withdrawal became effective, to the extent permitted by applicable law.

18. Fraud Prevention

Serideo maintains systems designed to protect the integrity of the Platform.

Users shall not engage in:

• Identity fraud

• Multiple account creation

• Collusion • Automated task completion

• Payment fraud

• Quality manipulation

• Data theft

• Credential sharing

• False verification

• Any deceptive practice intended to obtain unfair advantage

Serideo may investigate suspected misconduct and take appropriate action, including suspension, termination, recovery of improperly obtained payments where legally permissible, and reporting to competent authorities where required by law.

19. User Security Responsibility and Liability

19.1 User Responsibility

Users are solely responsible for maintaining the security of their account credentials, devices, authentication methods, and any confidential information accessed through the Platform.

Users shall not:

• share login credentials or verification codes with any other person;

• allow another individual to access or use their account;

• copy, download, distribute, sell, or disclose confidential Client or Platform information without authorization;

• intentionally or negligently expose confidential information;

• upload confidential Project materials to unauthorized third-party services or AI tools;

• engage in any activity that may compromise the security or confidentiality of the Platform or Client data.

X.2 User-Caused Security Incidents

If any data breach, data leak, unauthorized disclosure, loss of confidential information, misuse of Client data, account compromise, or other security incident occurs as a direct result of:

• the User's negligence;

• intentional misconduct;

• violation of these Terms;

• unauthorized sharing of credentials; • failure to follow reasonable security practices; or

• any other act or omission attributable to the User,

the User shall be solely responsible for the consequences of such actions.

To the maximum extent permitted by applicable law, the User shall be responsible for any losses, damages, claims, regulatory actions, penalties, reasonable legal costs, or compensation payable to affected third parties arising directly from the User's conduct. The User agrees to indemnify and hold harmless Serideo from such liabilities to the extent permitted by law.

19.3 Serideo Responsibility

Serideo shall assume responsibility only where a security incident is directly caused by:

• a verified vulnerability or malfunction within the Serideo Platform;

• negligence or wrongful acts of Serideo or its authorized employees;

• failure by Serideo to implement reasonable security safeguards required under applicable law; or

• other acts or omissions for which Serideo is legally responsible.

In such cases, Serideo's responsibility shall be determined in accordance with applicable law and these Terms.

19.4 Investigation

Serideo reserves the right to investigate any suspected security incident, data breach, misuse of confidential information, fraud, or unauthorized activity.

Users agree to cooperate fully with any investigation and provide accurate information reasonably requested by Serideo.

19.5 False Reports and Concealment

Any User who knowingly conceals, misrepresents, or provides false information regarding a security incident or data breach may be subject to immediate suspension or termination of their account, in addition to any other remedies available under applicable law.

19.5 Protection of Serideo Confidential Information

In addition to protecting Client Data, Users acknowledge that all non-public information relating to Serideo is confidential and proprietary.

Without the prior written authorization of Serideo, Users shall not disclose, record, copy, publish, reproduce, distribute, transmit, or otherwise share any confidential Serideo information with any third party. This includes, but is not limited to:

• internal meetings, video calls, voice calls, or conference calls;

• screen recordings, screenshots, photographs, or audio recordings; • source code, APIs, software, models, algorithms, scripts, prompts, or technical documentation;

• internal communications, emails, messages, or support conversations;

• business strategies, pricing, financial information, product roadmaps, security practices, research, or operational processes;

• employee, contractor, advisor, or management discussions;

• any confidential information obtained while using the Platform or working on behalf of Serideo.

Users shall not use any confidential Serideo information for personal benefit or for the benefit of any third party, nor shall they disclose such information through social media, blogs, livestreams, videos, forums, messaging applications, interviews, presentations, or any other public or private medium without Serideo's prior written consent.

Any unauthorized disclosure, recording, copying, transmission, sale, publication, or misuse of Serideo Confidential Information shall constitute a material breach of these Terms.

Where Serideo reasonably determines that a User has intentionally or negligently leaked or misused confidential Serideo information, Serideo may, to the fullest extent permitted by applicable law:

• immediately suspend or permanently terminate the User's account;

• revoke access to all Services and Projects;

• suspend or withhold pending payouts where legally permissible during investigation;

• seek recovery of damages and financial losses;

• seek injunctive or other equitable relief to prevent further disclosure;

• report the matter to competent law enforcement or regulatory authorities where appropriate; and

• initiate civil, criminal, or other legal proceedings available under applicable law.

The User agrees to indemnify and hold harmless Serideo from claims, losses, liabilities, penalties, reasonable legal fees, and damages arising directly from the User's unauthorized disclosure or misuse of Serideo Confidential Information.

Any fines, penalties, compensation, or other legal remedies shall be determined by the competent court, arbitral tribunal, or other authority having jurisdiction, in accordance with applicable law and the specific facts of the matter. 20. Suspension and Termination

20.1 Suspension by Serideo

Serideo may suspend or restrict access to the Services immediately, with or without prior notice, where it reasonably believes that a User has:

• violated these Terms or any applicable policy;

• provided false, inaccurate, or misleading information;

• engaged in fraud, abuse, or deceptive practices;

• compromised the security or integrity of the Platform;

• infringed the rights of Serideo, its Clients, or other Users;

• failed to complete required identity verification;

• used unauthorized automation, bots, scripts, or AI tools where prohibited;

• attempted to interfere with the operation of the Platform; or

• engaged in conduct that may expose Serideo to legal, regulatory, financial, or reputational risk.

Suspension may be temporary or permanent depending on the nature and severity of the violation.

20.2 Termination by the User

You may stop using the Services and request closure of your account at any time through the Platform or by contacting Serideo Support.

Termination of your account does not automatically cancel obligations that arose before termination, including confidentiality obligations, intellectual property licenses, or outstanding payment or tax obligations.

20.3 Effect of Termination

Upon termination:

• your right to access the Services ends immediately;

• unfinished Projects may be cancelled;

• pending payments may be reviewed before release;

• access to dashboards, tools, and Client materials may be removed;

• certain records may be retained where required by law, contractual obligations, fraud prevention, dispute resolution, or legitimate business purposes.

Sections that by their nature are intended to survive termination shall continue in effect, including provisions relating to confidentiality, intellectual property, payment disputes, limitation of liability, indemnification, governing law, and dispute resolution. 21. Disclaimers

The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law.

Serideo does not guarantee that:

• the Services will always be uninterrupted, error-free, or available;

• any specific Project or amount of work will be available;

• any minimum level of earnings will be achieved;

• the Services will meet every User's expectations or business requirements;

• information provided by Clients will always be complete or accurate; or

• any technical issue will be corrected within a particular timeframe.

To the fullest extent permitted by law, Serideo disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

Nothing in these Terms excludes or limits rights that cannot legally be excluded under applicable law.

22. Limitation of Liability

To the fullest extent permitted by applicable law, Serideo, its affiliates, directors, officers, employees, contractors, licensors, and partners shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages arising out of or relating to the use of, or inability to use, the Services.

This includes, without limitation:

• loss of profits;

• loss of business opportunities;

• loss of reputation;

• loss of goodwill;

• loss of anticipated savings;

• data loss;

• interruption of business;

• unauthorized access by third parties;

• delays caused by third-party service providers; and

• technical failures beyond Serideo's reasonable control.

Where liability cannot be excluded, Serideo's aggregate liability arising out of or relating to these Terms shall not exceed the total amount actually paid by Serideo to the affected User during the six (6) months immediately preceding the event giving rise to the claim, or INR ₹2,500 (or the equivalent in local currency), whichever is lower, except where prohibited by applicable law.

Nothing in this section limits liability that cannot legally be limited.

23. Indemnification

You agree to defend, indemnify, and hold harmless Serideo, its affiliates, officers, directors, employees, contractors, licensors, and partners from and against any claims, demands, actions, proceedings, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising out of or relating to:

• your breach of these Terms;

• your misuse of the Services;

• your violation of applicable laws or regulations;

• your infringement of any intellectual property or other rights of a third party;

• fraudulent, negligent, or intentional misconduct by you; or

• any content or materials submitted by you that violate these Terms.

24. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.

Before initiating formal legal proceedings, the parties agree to attempt in good faith to resolve disputes through written discussions.

If a dispute cannot be resolved amicably within thirty (30) days, either party may refer the dispute to arbitration.

Unless otherwise required by applicable law or agreed in writing:

• arbitration shall take place in New Delhi, India;

• proceedings shall be conducted in the English language;

• the arbitral tribunal shall consist of one arbitrator appointed in accordance with applicable arbitration law.

Nothing in this section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where necessary to protect its rights.

Subject to the arbitration provisions above, the courts located in New Delhi, India shall have exclusive jurisdiction over matters not subject to arbitration or where court proceedings are otherwise required by law. 25. Force Majeure

Serideo shall not be liable for any delay or failure in performing its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to:

• natural disasters;

• pandemics;

• war;

• terrorism;

• civil unrest;

• government actions;

• internet outages;

• power failures;

• cyberattacks;

• labor disputes;

• failures of third-party infrastructure or cloud service providers; or

• other events beyond Serideo's reasonable control.

Performance shall be suspended for the duration of the Force Majeure event.

26. Changes to These Terms

Serideo may modify these Terms from time to time to reflect changes in the Services, legal requirements, business practices, or operational needs.

Where required by applicable law, Users will be notified of material changes through the Platform, email, or other reasonable means.

The updated Terms become effective on the stated Effective Date.

Continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms.

27. Notices and Electronic Communications

By using the Services, you consent to receive electronic communications from Serideo, including notices relating to your account, Projects, payments, legal updates, and security matters.

Electronic communications may be delivered through:

• email;

• in-app notifications; • dashboard messages; or

• other electronic methods made available by the Platform.

Such communications satisfy any legal requirement that communications be in writing, to the extent permitted by applicable law.

28. Assignment

You may not assign, transfer, delegate, or otherwise dispose of your rights or obligations under these Terms without Serideo's prior written consent.

Serideo may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, corporate restructuring, financing transaction, sale of assets, or other business reorganization.

29. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, the remaining provisions shall remain in full force and effect.

The invalid provision shall, where possible, be interpreted or modified to achieve its intended legal and commercial purpose while remaining enforceable.

30. No Waiver

Failure by Serideo to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.

Any waiver shall be effective only if made in writing by an authorized representative of Serideo.

30. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Serideo regarding the Services and supersede all prior or contemporaneous understandings, representations, and agreements relating to the same subject matter.

This processing is not required for access to the core functionality of the Platform unless a specific Project expressly states otherwise.

Accordingly, Serideo provides an optional setting titled:

"Help Improve Serideo AI for Everyone."

If you choose to enable this setting, you consent to Serideo using eligible de-identified Project submissions, annotations, evaluations, and related work products for improving and developing Serideo's AI technologies.

Where reasonably feasible, personal identifiers are removed or masked before such information is used.

You may withdraw this optional consent at any time through your account settings.

Withdrawal applies only to future processing and does not require Serideo to remove information already incorporated into AI models, datasets, or analyses before your withdrawal became effective, to the extent permitted by applicable law.

Your decision to decline or withdraw this optional consent will not affect your access to the core Services except where a specific Project explicitly requires such processing.

7. Legal Basis for Processing

Depending on the applicable law and the nature of the processing, Serideo may process information based on one or more of the following:

12. Client Data Protection

Client information is confidential.

Users receiving access to Client Data agree to protect such information with the highest degree of care.

Without prior written authorization, Users shall not:

• copy Client Data for personal use;

• download datasets except where expressly permitted;

• publish Client information;

• upload Project materials to public AI tools;

• share Client information through social media;

• record Project materials;

• livestream work sessions;

• create YouTube videos, tutorials, blogs, demonstrations, presentations, or other public content using Client Data;

• disclose Client information to any unauthorized person. Any unauthorized disclosure of Client Data constitutes a material breach of these Terms and related agreements.

Where such disclosure results from the User's intentional misconduct or negligence, the User shall be responsible for their own actions to the fullest extent permitted by applicable law.

Serideo may suspend or terminate the User's account, revoke Project access, notify the affected Client, cooperate with regulators or law enforcement, and pursue legal remedies available under applicable law.

Any compensation, damages, penalties, injunctions, fines, or other legal remedies relating to the misuse of Client Data shall be determined by the competent court, tribunal, arbitrator, or regulatory authority having jurisdiction over the matter.

Nothing in this section limits Serideo's own legal obligations where a security incident results directly from Serideo's negligence, systems, or personnel.

13. Protection of Serideo Confidential Information

Users may obtain access to confidential Serideo information while using the Platform.

Such information may include:

• software;

• source code;

• APIs;

• technical documentation;

• research;

• AI models;

• pricing;

• internal meetings;

• business strategies;

• communications;

• internal support information;

• security procedures;

• operational processes.

Users shall not disclose, record, screenshot, livestream, photograph, copy, distribute, publish, or otherwise share any confidential Serideo information without prior written authorization.

• immediate suspension;

• permanent account termination; • removal from Projects;

• withholding of pending payouts where legally permissible;

• civil proceedings;

• criminal complaints where appropriate;

Where a User intentionally or negligently causes reputational harm to Serideo through unauthorized disclosure, Serideo reserves the right to seek compensation, injunctive relief, corrective statements, or other remedies as may be granted by a competent court or tribunal.

Where processing is based on your consent, you may withdraw that consent at any time through your account settings or by contacting Serideo.

Withdrawal of consent applies prospectively and does not affect processing that was lawfully carried out before the withdrawal became effective. If you have enabled the optional "Help Improve Serideo AI for Everyone" setting, you may disable it at any time.

Once disabled:

• Serideo will stop using newly eligible submissions for future Serideo AI model improvement, where applicable.

• Previously completed processing and model training conducted before withdrawal will not generally be reversed, to the extent permitted by applicable law.

Withdrawal of optional consent will not affect your ability to use the core Platform unless a specific Project expressly requires such processing.

20. Security Incident and Data Breach Response

Serideo maintains procedures for identifying, investigating, responding to, and mitigating security incidents.

Where a security incident involving personal information occurs, Serideo may:

• investigate the incident;

• contain the affected systems;

• preserve evidence;

• notify affected Clients where appropriate;

• cooperate with law enforcement and regulatory authorities;

• notify affected Users where required by applicable law; and

• implement corrective measures to reduce future risk.

Users also have responsibilities.

If a User becomes aware of:

• unauthorized access,

• credential compromise,

• accidental disclosure,

• suspicious activity,

• malware,

• or any security incident,

the User must notify Serideo without unreasonable delay.

Where a security incident is caused by the User's intentional misconduct, negligence, or violation of the Master Terms of Service, the User shall remain responsible for their own actions to the fullest extent permitted by applicable law. 21. Complaints and Grievance Redressal

Serideo AI is committed to building a secure, professional, transparent, and respectful ecosystem where individuals, researchers, enterprises, and organizations can collaborate to create high-quality artificial intelligence data. This Code of Conduct ("Code") establishes the behavioral standards, ethical responsibilities, and professional expectations applicable to every individual or organization using the Serideo AI Platform.

This Code applies to all Users, Annotators, Reviewers, Translators, Independent Contractors, Researchers, Enterprise Customers, Clients, Visitors, and any other person accessing or interacting with the Platform.

Every User is expected to read, understand, and comply with this Code while using any Serideo Service.

Failure to comply with this Code may result in warnings, retraining, suspension, permanent account termination, removal from Projects, withholding of pending payouts where legally permissible, legal proceedings, or any other action available under applicable law.

2. Our Values

Serideo believes that responsible artificial intelligence begins with responsible people.

Every User is expected to contribute toward maintaining a trustworthy environment by acting honestly, professionally, respectfully, ethically, and lawfully. Users should perform assigned work carefully, respect confidential information, communicate professionally, and protect the interests of Clients, fellow Users, and Serideo.

Serideo does not tolerate conduct that threatens the security, integrity, reliability, or reputation of the Platform.

3. Professional Behaviour

Users are expected to perform all assigned work with honesty, diligence, fairness, and professionalism.

Users shall follow all applicable Project instructions, quality standards, Platform policies, and applicable laws while using the Services. Users must never intentionally submit inaccurate work, manipulate Project outcomes, falsify information, impersonate another individual, misrepresent qualifications, or otherwise engage in dishonest conduct.

Where Users are uncertain regarding Project instructions, they are encouraged to contact Serideo Support before submitting work.

Professional communication should always remain respectful, constructive, and appropriate.

4. Respectful Communication

Serideo is committed to maintaining a respectful workplace for everyone.

Users shall communicate politely with Clients, Serideo employees, moderators, reviewers, contractors, support representatives, and other Users.

Abusive language, harassment, bullying, discrimination, hate speech, intimidation, blackmail, threats of violence, repeated unwanted communication, sexually inappropriate conduct, defamatory statements knowingly made with malicious intent, or any conduct that creates an unsafe working environment is strictly prohibited.

Serideo reserves the right to investigate such conduct and take appropriate action, including suspension, account termination, restriction of Platform access, or legal action where appropriate.

Nothing in this section restricts a User's right to submit legitimate complaints or truthful reports made in good faith.

5. Client Confidentiality

Client trust is fundamental to the operation of the Serideo Platform.

Users acknowledge that all Client information, including datasets, prompts, images, videos, audio recordings, documents, Project instructions, evaluation materials, benchmarks, software, research, and any other Project-related information made available through the Platform, is confidential.

Such information is provided solely for the purpose of completing authorized work.

Users shall not copy, download, reproduce, publish, disclose, transmit, sell, distribute, record, photograph, screenshot, screen-record, livestream, upload, or otherwise share Client information with any unauthorized person or third party without prior written authorization from Serideo or the applicable Client.

This restriction applies to all forms of communication, including social media platforms, messaging applications, blogs, forums, livestreams, podcasts, presentations, portfolio materials, YouTube videos, AI systems, cloud storage services, or any other public or private medium.

Users shall not use Client information for personal benefit or for the benefit of any third party. Any intentional or negligent disclosure of Client information constitutes a material violation of this Code.

Where a User causes the unauthorized disclosure, misuse, theft, publication, recording, transmission, or loss of Client information through intentional misconduct, negligence, or violation of Platform policies, the User shall remain responsible for their own actions to the fullest extent permitted by applicable law.

Serideo reserves the right to immediately suspend or permanently terminate the User's account, revoke access to Projects, cooperate with the affected Client, report the matter to competent authorities where appropriate, and pursue any civil or criminal remedies available under applicable law.

Any compensation, damages, penalties, injunctions, fines, criminal sanctions, or other legal remedies relating to the unauthorized disclosure or misuse of Client information shall be determined by the competent court, tribunal, arbitrator, regulatory authority, or other lawful authority having jurisdiction over the matter.

6. Protection of Serideo Confidential Information

Users may receive access to confidential information belonging to Serideo during the course of using the Platform.

Such information includes, without limitation, source code, software, APIs, prompts, internal documentation, business strategies, financial information, pricing models, research, artificial intelligence models, internal communications, support conversations, internal meetings, security procedures, employee discussions, development roadmaps, operational processes, unpublished features, and any other information designated or reasonably understood to be confidential.

Users shall not record, photograph, screenshot, livestream, reproduce, publish, transmit, disclose, upload, distribute, or otherwise share any confidential Serideo information without prior written authorization.

Users shall not record internal meetings, support calls, interviews, video conferences, onboarding sessions, product demonstrations, or communications with Serideo personnel unless expressly permitted in writing.

Any unauthorized disclosure or misuse of Serideo Confidential Information may result in immediate suspension, permanent account termination, removal from all Projects, withholding of pending payouts where legally permissible during investigation, recovery of damages, injunctive relief, civil proceedings, criminal complaints where appropriate, and any other remedies available under applicable law.

Where such disclosure causes financial or reputational harm to Serideo, Serideo reserves the right to seek compensation and other appropriate legal remedies before a court or tribunal of competent jurisdiction. 7. Platform Integrity

Users shall use the Platform honestly and only for legitimate purposes.

Users shall not interfere with the normal operation of the Platform, attempt unauthorized access, bypass security controls, manipulate Platform systems, exploit software vulnerabilities, reverse engineer protected components, interfere with Project workflows, or engage in activities intended to damage, disrupt, or impair the Services.

Users shall not knowingly spread false information regarding Serideo, impersonate Serideo personnel, create fake support accounts, misuse Serideo branding, or falsely claim affiliation with Serideo.

Any activity intended to damage the integrity, reputation, security, or reliability of the Platform may result in immediate enforcement action.

8. Security Responsibilities

Every User plays an important role in protecting the security of the Serideo Platform, its Clients, and the wider community. Users are responsible for maintaining the confidentiality of their account credentials, authentication methods, devices, and any confidential information accessed through the Platform. Users shall use reasonable care to prevent unauthorized access to their accounts and shall immediately notify Serideo if they become aware of any suspected account compromise, stolen device, credential theft, unauthorized login, malware infection, or other security incident.

Users shall not intentionally disable security features, attempt to bypass authentication mechanisms, interfere with security systems, or encourage others to compromise the Platform. Failure to follow reasonable security practices that results in unauthorized access or disclosure of confidential information may result in enforcement action under this Code.

9. Fraud, Misrepresentation and Multiple Accounts

Serideo maintains a zero-tolerance policy towards fraud and dishonest conduct.

Users shall not create multiple accounts without written authorization, impersonate another individual, submit false identity documents, manipulate quality scores, falsify work history, submit work completed by another person, share accounts, purchase or sell Platform accounts, use bots or automated systems where prohibited, manipulate payments, engage in collusion, or otherwise attempt to obtain unfair advantages.

Any attempt to intentionally deceive Clients, Serideo, or other Users may result in immediate suspension or permanent removal from the Platform. Serideo also reserves the right to cooperate with Clients, regulatory authorities, and law enforcement agencies where fraudulent activity is suspected. 10. Artificial Intelligence and Automated Tools

Unless expressly permitted by the applicable Project instructions, Users shall not use artificial intelligence systems, automation software, browser extensions, scripts, bots, macros, or similar tools to complete assigned work intended to be performed personally by the User.

Users shall not submit AI-generated responses while representing them as their own human work where such use is prohibited.

If a Project specifically authorizes the use of approved AI tools, Users shall comply with all Project-specific requirements and restrictions.

Unauthorized automation may result in quality investigations, suspension, removal from Projects, termination of the User's account, or additional legal remedies where appropriate.

11. Payments, Taxes and Platform Service Charges

Serideo is committed to transparent payments.

Before accepting a Project, the Platform will display the applicable Project compensation, estimated payout, and any applicable Platform Service Charge. The Platform Service Charge represents the fee charged by Serideo for providing the Platform, payment processing, infrastructure, quality assurance, fraud prevention, operational support, and related services.

The Platform Service Charge may vary depending on the Project and may be zero (0%) for certain Projects. Users acknowledge and agree that the applicable charge will be presented before the Project is accepted.

Where required by applicable law, Serideo may deduct taxes, statutory withholdings, bank charges, payment processing fees, or other legally required deductions before releasing payments.

Users remain responsible for complying with their own personal tax obligations under applicable law.

12. Fair Work Environment

Serideo believes that responsible artificial intelligence should be built within a respectful and healthy working environment.

Except where specifically agreed in writing or required by a Project, Users remain free to decide whether to accept or decline available work. Serideo does not require Users to complete a minimum number of working hours or Projects.

Users should take appropriate breaks, avoid excessive workloads, and work in a manner that promotes accuracy, quality, and personal well-being. 13. No Unauthorized Fees

Serideo will never require Users to pay hidden recruitment fees, joining fees, activation fees, verification fees, security deposits, training fees, or any other undisclosed charges.

Any legitimate fee charged by Serideo will be clearly displayed through the official Platform before payment and, where required, will require the User's consent.

If any individual claiming to represent Serideo requests money outside the official Platform or requests payments that are not officially disclosed, Users should immediately report the incident.

Serideo shall not be responsible for payments voluntarily made to unauthorized persons falsely claiming to represent the Company.

14. Verification of Serideo Representatives

For their own safety, Users may request reasonable verification of any individual claiming to represent Serideo.

Authorized representatives may verify their identity through official Serideo communication channels, verified @serideo.com or website mentioned email addresses, official employee identification, or any other verification method approved by Serideo.

Users are encouraged to communicate only through official Serideo communication channels whenever reasonably possible.

15. Complaints Against Serideo Personnel

Serideo expects every employee, moderator, reviewer, contractor, and authorized representative to maintain the highest standards of professionalism.

If a User reasonably believes that a member of the Serideo team has acted inappropriately, behaved unprofessionally, abused their authority, engaged in harassment, requested unauthorized payments, or otherwise violated Company standards, the User may submit a complaint to the designated Product Manager, Grievance Officer, or through official support channels.

Serideo will review complaints fairly, objectively, and in good faith. Depending upon the findings of the investigation, Serideo may provide an explanation, issue an apology where appropriate, assign a different reviewer or representative, implement internal corrective measures, provide reasonable support, or take disciplinary action against the responsible individual.

Knowingly submitting false, fabricated, or malicious complaints may itself constitute a violation of this Code. 16. Community Fund and Public Benefit Initiatives

As part of its long-term mission, Serideo intends to establish the Serideo Community Fund, currently planned for 2028, to support education, scholarships, artificial intelligence research, open innovation, technology development, and community initiatives.

Eligible Users may voluntarily contribute a portion of their earnings to support these initiatives. Participation is entirely optional, and choosing not to contribute will not affect Project eligibility, account status, payouts, rankings, or access to Platform features.

From time to time, Serideo may recognize contributors by providing community-related opportunities, educational resources, mentorship, scholarships, early access programs, research participation opportunities, or other benefits. Such benefits remain discretionary and do not create a contractual entitlement.

17. Reporting Violations

Serideo encourages every User to help maintain a secure, professional, and trustworthy Platform. Users who become aware of fraud, security incidents, unauthorized access, data leaks, policy violations, harassment, impersonation, payment fraud, intellectual property infringement, misuse of Client Data, misuse of Serideo Confidential Information, or any activity that may threaten the integrity of the Platform are encouraged to report such matters through Serideo's official support channels without unreasonable delay.

Reports should be made honestly, accurately, and in good faith. Users should provide all reasonably available information that may assist Serideo in conducting an investigation. Knowingly submitting false, misleading, fabricated, or malicious reports intended to harm another User, Client, employee, contractor, or Serideo itself constitutes a violation of this Code and may result in disciplinary or legal action.

18. Investigations

To protect the security and integrity of the Platform, Serideo reserves the right to investigate any suspected violation of this Code, the Master Terms of Service, the Master Privacy Policy, Project requirements, Client agreements, or applicable law.

During an investigation, Serideo may temporarily restrict access to certain Platform features, suspend Project participation, pause pending payouts where legally permissible, request additional information or documentation, review relevant account activity, audit submitted work, communicate with the affected Client, preserve relevant evidence, and cooperate with competent legal or regulatory authorities where appropriate.

Users are expected to cooperate honestly and in good faith during any investigation. Refusing to cooperate, destroying evidence, interfering with an investigation, or providing false information may constitute an independent violation of this Code. 19. Enforcement and Corrective Actions

Where Serideo reasonably determines that a User has violated this Code or any other applicable Platform policy, Serideo may take one or more enforcement actions proportionate to the seriousness of the violation.

Such actions may include issuing a warning, requiring additional training, restricting access to specific Projects or Platform features, lowering Project eligibility, temporarily suspending the account, permanently terminating the account, revoking certifications, withholding pending payouts where legally permissible during an investigation, notifying affected Clients, reporting the matter to competent authorities, or pursuing civil or criminal remedies where available under applicable law.

Serideo will make reasonable efforts to apply enforcement measures fairly and consistently while considering the severity of the conduct, the available evidence, prior violations, contractual obligations, and applicable legal requirements.

20. Data Leaks, Confidentiality Breaches, and User Liability

Users acknowledge that unauthorized disclosure of Client Data or Serideo Confidential Information may result in significant financial, operational, legal, and reputational harm.

Where a User intentionally or negligently copies, records, screenshots, photographs, downloads, publishes, transmits, uploads, sells, distributes, or otherwise discloses confidential information without authorization, the User shall remain responsible for their own conduct to the fullest extent permitted by applicable law.

If the unauthorized disclosure concerns Client Data, Serideo may immediately remove the User from the affected Project, suspend or terminate the User's account, notify the affected Client, preserve evidence, and cooperate with competent courts, regulatory authorities, or law enforcement agencies.

Where permitted by applicable law, Serideo may seek recovery from the User for losses, damages, legal costs, regulatory penalties, contractual liabilities, or other expenses reasonably incurred by Serideo as a direct result of the User's unauthorized conduct.

If the unauthorized disclosure concerns Client Data, any compensation, penalties, damages, injunctions, fines, criminal sanctions, settlement obligations, or other legal remedies between the affected Client and the User shall be determined by the competent court, tribunal, arbitrator, or other lawful authority having jurisdiction over the matter. Except where Serideo is independently responsible under applicable law, Serideo shall not assume liability for losses arising solely from the User's intentional or negligent misconduct.

Where the unauthorized disclosure causes demonstrable reputational harm to Serideo, Serideo reserves the right to seek appropriate legal remedies before a competent court or tribunal, including compensation for proven losses and any equitable relief that may lawfully be granted. 21. Compliance with Laws

Users shall comply with all applicable laws, regulations, sanctions, export control requirements, intellectual property laws, privacy laws, contractual obligations, and government requirements applicable to their use of the Platform.

Nothing contained in this Code authorizes or requires any User to violate applicable law. Where a provision of this Code conflicts with mandatory legal requirements, the applicable law shall prevail to the extent of that conflict.

22. Amendments

Serideo may revise this Code from time to time in order to reflect changes in the Platform, legal requirements, security practices, operational processes, or business needs.

Updated versions will become effective upon publication on the Platform or on another effective date specified by Serideo. Continued use of the Platform after the effective date constitutes acknowledgment of the revised Code.

Where required by applicable law, Serideo will provide appropriate notice of material changes before they become effective.

24. Final Provisions

This Code forms an integral part of the Master Terms of Service and should be read together with the Master Privacy Policy and any applicable Project-specific requirements.

If any provision of this Code is determined by a competent court or tribunal to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect. Serideo's decision not to immediately enforce any provision of this Code shall not constitute a waiver of any right or remedy available to Serideo under this Code, the Master Terms of Service, applicable contracts, or applicable law.

Nothing contained in this Code limits any legal rights, remedies, or obligations that cannot lawfully be excluded or limited under applicable law.

25. User Acknowledgement

By creating an account, accepting a Project, accessing the Platform, or otherwise using any Serideo Service, you acknowledge that you have carefully read, understood, and agree to comply with this Code of Conduct.

You further acknowledge that maintaining the confidentiality of Client Data, protecting Serideo Confidential Information, respecting fellow Users, complying with applicable laws, and acting with honesty and professionalism are essential conditions of continued participation on the Serideo Platform.

Serideo believes that responsible artificial intelligence is built through trust, integrity, transparency, accountability, and respect. Every User shares responsibility for helping create a secure, ethical, and professional community that benefits Clients, researchers, developers, and society as a whole.
